Colleen is a member of the Financial Industry Group, focusing on securitization, structured finance, commercial finance transactions and complex financial products. Colleen advises�financial institutions regarding the acquisition and sale of a variety of assets primarily�involving newly originated, seasoned and distressed residential mortgage loan pools,�including conventional, government insured and jumbo mortgage loans, on both servicing�retained and servicing released bases, and pools of mortgage servicing rights relating to�residential mortgage loans. She also has experience in sales of loans to agencies and�agency securitizations (agency swaps) and with warehouse arrangements for conventional,�government insured and jumbo mortgage loans.Colleen�s securitization experience includes residential mortgage-back securities and she�has advised sellers, servicers and investors regarding structuring, servicing and�administering private securitizations and securitizations with Freddie Mac, Fannie Mae and�Ginnie Mae. Colleen�s securitization experience also includes motor vehicle loans and�leases (including titling trusts), equipment leases, credit cards receivables, trade receivables�and consumer loans in both the United States and Canada.Recently, Colleen has advised mortgage servicers on a variety of mortgage servicing rights�sale and mortgage sale securitization related issues such as interim servicing and servicing�transfer provisions, loan modifications, the REMIC rules, documentation issues relating to�judicial and non-judicial foreclosures and REO properties. In addition, Colleen advises�clients on the risk retention requirements under Dodd-Frank, the rules and requirements of�the Consumer Financial Protection Bureau, and the Securities Exchange Commissions�revisions applicable to the offering of publically issued asset-backed securities (�Regulation�AB II�).Colleen represents underwriters and issuers in public offerings, private placements, assetbacked�commercial paper programs, and medium-term note programs. In addition, she has�advised a variety of investment banks, private equity funds and hedge funds in utilizing�securitization in a number of financing transactions including acquisition financings. One�such transaction on which Colleen played a key role was named by Investment Dealers as�"2006 Deal of the Year."In the structured finance area, Colleen has represented both commercial lenders and�corporate borrowers in a variety of secured lending transactions. Colleen�s experience�includes asset-based lending arrangements such as charged-off receivables, copyrights,�patents and royalties, film financings, and future-flow transactions as well as cash-flow�facilities. In addition, Colleen has worked on a number of commercial finance transactions�including domestic and cross-border secured facilities, senior/secured and subordinated�debt facilities, note purchase facilities, syndicated loan facilities, liquidity facilities, and�synthetic lease transactions. Colleen also advises clients on distressed asset sales and�restructuring including disposition under Article 9 of the Uniform Commercial Code.
